Who We Are
Built Around the
Demands of the Deal
Pulau Legal is a focused mergers and acquisitions practice based in Singapore's financial district. We were established to provide transaction-specific legal counsel to businesses and investors who require depth of expertise rather than a broad general practice.

Our Story
A Practice Founded on Precision
Pulau Legal was founded with a deliberate focus — to serve clients engaged in mergers, acquisitions, and corporate restructurings with the full attention that these transactions deserve. The firm takes its name from the Malay word for island, reflecting Singapore's position as a meeting point for business and capital across the region.
Our founding partners each brought experience from larger practices, where they observed that M&A work is frequently better served by a focused team than a generalist one. Transactions of this nature require practitioners who understand deal dynamics, can anticipate where negotiations tend to shift, and are prepared to engage with the commercial realities that clients face alongside the legal questions.
From our offices in Marina Bay Financial Centre, we advise Singapore businesses, family enterprises, regional conglomerates, and international investors on domestic and cross-border transactions. Our approach is deliberate and methodical — we believe that the quality of legal preparation shapes the outcome of a transaction as much as the commercial negotiation does.
Mission & Values
What Guides Our Work
Focused Practice
We advise exclusively on M&A matters. This concentration means our team maintains active knowledge of market conditions, documentation standards, and regulatory developments relevant to your transaction.
Candid Counsel
We aim to give you a clear view of the legal landscape — including the aspects that are unfavourable or complex. Sound decisions are made with complete information, not filtered perspectives.
Collaborative Approach
Transactions involve multiple advisers. We work closely with your financial team, accountants, and where necessary, international counsel to ensure the legal work sits within a coherent broader strategy.
Discretion as Standard
Every engagement is conducted with the confidentiality that M&A transactions require. We handle client information with appropriate care at all stages, from initial enquiry through to completion.
The People
Our Advisory Team
Each engagement is led by a qualified solicitor with direct M&A experience. You work with the adviser who knows your transaction — not a rotating team of juniors.
David Koh
Managing Partner
David leads the firm's buy-side and sell-side mandates, with particular experience in structuring share purchase transactions for Singapore and Southeast Asian targets. He previously practised at a Tier 1 corporate practice before co-founding Pulau Legal.
Rachel Tan
Senior Associate, M&A
Rachel manages due diligence workstreams and coordinates multi-party transactions. She has conducted reviews across technology, healthcare, and manufacturing sectors and is known for her methodical approach to complex regulatory compliance questions.
Vikram Pillai
Associate, Corporate
Vikram supports transaction teams on drafting and negotiation, with a focus on sale and purchase agreement terms and representation and warranty frameworks. He joined the firm following experience in both Singapore and India corporate law.
How We Work
Standards We Uphold
Every engagement at Pulau Legal is conducted according to the same professional standards, regardless of transaction size or complexity.
Law Society Compliance
All solicitors at Pulau Legal hold current practising certificates issued by the Law Society of Singapore and operate in accordance with the Professional Conduct Rules applicable to Singapore-based legal practitioners.
Information Security
Transaction documentation and client data are handled through secure, access-controlled systems. Data rooms are managed with appropriate permissions and our internal document handling procedures are reviewed annually.
Quality Review Process
All material documents — due diligence reports, sale and purchase agreements, and legal opinions — are reviewed by a senior practitioner before delivery to the client. We do not issue first drafts without internal review.
Conflict of Interest Checks
Before accepting any engagement, we conduct a formal conflicts check. Where a conflict is identified, we disclose this and work with the client to find an appropriate path forward or, where necessary, decline the instruction.
PDPA Compliance
The firm handles personal data in accordance with Singapore's Personal Data Protection Act. Our data management policies govern how client and counterparty information is collected, stored, and disposed of.
Continuing Professional Development
Our practitioners fulfil the CPD requirements of the Law Society of Singapore and engage regularly with M&A market developments, regulatory changes, and shifts in documentation practice across the region.
Our Expertise
M&A Legal Advisory in Singapore
Singapore occupies a particular position in Asia's transaction landscape. As a jurisdiction with well-developed company law, a transparent regulatory framework, and strong contract enforcement, it serves as both the location of origin and the preferred holding structure for transactions across the ASEAN region. Pulau Legal was established to work within this environment — combining technical legal knowledge with a practical understanding of how deals are structured and negotiated here.
Our advisory work covers the full range of corporate M&A — from early structuring conversations, through term sheet negotiation, due diligence, and definitive documentation, to completion mechanics and post-closing obligations. We pay particular attention to the interface between commercial objectives and legal terms, recognising that the best legal advice is the kind that supports the deal rather than complicating it.
Clients who engage Pulau Legal typically value a straightforward working relationship. We keep you informed of progress, flag material developments promptly, and avoid presenting legal complexity as a reason to delay. Where decisions rest with the client, we prepare clear options and explain the implications of each — then leave the decision where it belongs.
