Pulau Legal provides legal advisory services to businesses and individuals in connection with mergers, acquisitions, and corporate transactions. Our principal service lines are:
- Buy-Side Acquisition Advisory (SGD 1,500): Strategic legal counsel for acquirers, covering due diligence, transaction structuring, SPA negotiation, and regulatory coordination.
- Sell-Side Transaction Support (SGD 1,380): Advisory to sellers, covering data room preparation, term sheet review, SPA drafting, disclosure management, and post-completion obligations.
- Due Diligence Review (SGD 580): Methodical legal review of a target's corporate, contractual, employment, regulatory, and IP position, delivered as a written report.
Prices stated are indicative starting rates. The scope, timeline, and fee structure for each engagement are set out in a written engagement letter prior to commencement of work. No advisory work commences without a signed engagement letter.
Pulau Legal reserves the right to decline any instruction at its discretion, including where a conflict of interest exists or where we determine the instruction falls outside our areas of competence.

7. Fees & Payment
Fees for services are as set out in the engagement letter. Unless otherwise agreed:
- Fees are quoted in Singapore Dollars (SGD)
- Payment terms and methods are specified in the engagement letter
- We may require a retainer or advance payment prior to commencement of work
- Disbursements and third-party costs incurred on your behalf are charged at cost and may be billed separately
- Goods and Services Tax (GST), where applicable under Singapore law, will be added to amounts charged
Refund Policy
Fees for work already performed are not refundable. Where an engagement is terminated prior to completion, we will account to you for any retainer balance after deducting fees for work completed to that point, in accordance with our professional obligations. The terms of any refund will be set out in the engagement letter.
8. Engagement Terms
All instructions are subject to a formal engagement letter that sets out the scope of work, fees, timeline, and any special conditions applicable to your matter. The engagement letter, together with these Terms and Conditions, constitutes the entire agreement between us in relation to that instruction.
- You are responsible for providing accurate and complete information relevant to your matter
- You agree to cooperate with reasonable requests for information and documents during the engagement
- Any changes to the agreed scope of work require written confirmation from both parties
- Our advice is given in the context of the facts and documents provided. If material facts change, you should inform us promptly
Confidentiality
Information you share with us in connection with an engagement is treated as confidential in accordance with our professional conduct obligations under the Legal Profession Act and applicable rules of professional conduct in Singapore.
9. Disclaimers
This Website and its contents are provided on an "as is" basis. To the extent permitted by applicable law, Pulau Legal makes no representation or warranty of any kind, express or implied, regarding the accuracy, completeness, or fitness for purpose of the information provided.

You agree to indemnify and hold harmless Pulau Legal, its partners, associates, and staff from and against any claims, costs, damages, or expenses arising from your breach of these Terms and Conditions, your misuse of the Website, or your provision of inaccurate or misleading information to us in connection with an engagement.
12. Termination
Either party may terminate an engagement by providing written notice in accordance with the engagement letter. We may terminate an engagement with immediate effect where:
- Continuing the engagement would place us in breach of our professional obligations
- A conflict of interest arises that cannot be managed
- You have provided materially inaccurate information
- Fees remain outstanding beyond the agreed payment terms
Termination of an engagement does not affect any rights or obligations that have accrued prior to termination. Provisions of these Terms and Conditions that by their nature should survive termination will do so, including confidentiality, intellectual property, and liability provisions.
13. Dispute Resolution
Governing Law
These Terms and Conditions, and any engagement with Pulau Legal, are governed by the laws of Singapore.
Jurisdiction
Any dispute arising in connection with these Terms and Conditions or any engagement shall be subject to the exclusive jurisdiction of the courts of Singapore, unless the parties agree in writing to refer the dispute to arbitration under the SIAC Rules.
Informal Resolution
Before commencing formal proceedings, we encourage you to contact us at [email protected] to discuss any concern. We will make reasonable efforts to resolve disputes informally in the first instance.
14. General Provisions
- Entire Agreement: These Terms and Conditions, together with any applicable engagement letter, constitute the entire agreement between you and Pulau Legal in relation to its subject matter.
- Severability: If any provision of these terms is found to be unenforceable, the remaining provisions continue in full force.
- Waiver: Failure by Pulau Legal to enforce any provision of these terms does not constitute a waiver of that provision.
- Assignment: You may not assign or transfer any rights or obligations under these terms without our prior written consent. We may transfer our obligations to another entity in connection with a restructuring of our practice, subject to equivalent obligations on the recipient.
- Notices: Notices under these terms should be sent to [email protected] or to our registered address.
